1. ACCEPTANCE OF TERMS

• If someone else has access to or uses our Service with your login credentials, you agree we shall treat such activity as though they were using their own unique identifier.

   Except for those warranties implied by law that are incapable of exclusion (including but not limited to non-breach of contract and reasonable care and skill), we do not make any representations as to the accuracy, completeness, reliability, or timeliness of content contained on or through our website, mobile application, software, documentation, or other materials made available.

9. LIMITATION OF LIABILITY

   We will have no liability in connection with:

• Any errors or omissions from the Service;
• Your inability to use the Service due to technical issues; and/or
• Your loss of any data resulting from your failure to maintain adequate backup procedures.

10. DEFINED TERMS

For purposes of this Agreement, "Content" includes all text, graphics, logos, icons, images, audio clips, or software elements contained in our website, mobile application, software, documentation, and other materials; "Intellectual Property Rights" means patents, trademarks, copyrights, trade secrets, know-how, database rights, goodwill, and other intellectual property rights of every nature; and "Net Proceeds" shall have the meaning assigned thereto in Section 12 below.

11. CHANGES TO THESE TERMS

    We reserve the right to make changes or modifications to these Terms and Conditions at any time without prior notice. You agree that it is your responsibility to review this Agreement regularly for updates. By continuing to use our Service, you will be bound by such changes.

12. GOVERNING LAW AND JURISDICTION

These Terms and Conditions shall be governed by the laws of Canada, without regard to conflict of law principles. Any disputes arising hereunder will be resolved in accordance with their respective procedures for resolving such matters.

13. DISPUTE RESOLUTION

    You agree that any dispute between us must first be addressed through a mediated resolution process, as per our established internal complaint resolution procedure ("Dispute Resolution Process"). If we do not resolve the issue to your satisfaction during this period, you may file a claim with Canada.

14. NOTICES

• You will promptly notify us in writing of any dispute arising from these Terms and Conditions;
• We shall post updates on our website or mobile application; and
• Your continued use of our Service acknowledges such changes.

15. ENTIRE AGREEMENT

    These Terms and Conditions, together with any documents referred to hereunder (including the policies linked thereto), constitute the entire agreement between you and us regarding your access to or use of the Service.

16. AMENDMENTS AND WAIVERS

• We may amend these Terms and Conditions at our sole discretion without prior notice;
• Your continued use after such modification will be deemed acceptance; and
• Any waiver of any breach hereunder will not constitute a general waiver for similar breaches in the future.

17. SEVERABILITY

    If any provision or part thereof is declared invalid, illegal, or unenforceable under applicable law, that declaration will only affect that specific provision without impacting the other terms and conditions contained herein.
